1. Agreement to Terms

By accessing and using the ThemeKnock website (themeknock.com) and our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our website or services.

These Terms constitute a legally binding agreement between you and ThemeKnock Digital (“ThemeKnock,” “we,” “us,” or “our”).

2. Services

ThemeKnock provides digital marketing, web design, web development, SEO, email marketing, branding, and related growth services (“Services”). The specific scope of Services will be defined in individual service agreements or proposals.

3. Client Obligations

When engaging our Services, you agree to:

  • Provide accurate and complete information as requested
  • Respond to communications and feedback requests in a timely manner
  • Provide necessary access to accounts, platforms, and materials
  • Ensure you have the right to use any content or materials you provide
  • Make payments according to the agreed schedule

4. Intellectual Property

Our Work Product

Upon full payment, you will own all custom work created specifically for your project, including website designs, custom code, and original content. We retain the right to showcase the work in our portfolio.

Pre-Existing Materials

We retain ownership of any pre-existing tools, frameworks, templates, and methodologies used in delivering Services. You receive a non-exclusive license to use these materials as part of your project.

ThemeKnock Brand

The ThemeKnock name, logo, and brand assets are our intellectual property and may not be used without written permission.

5. Payment Terms

  • Payment terms are specified in individual service agreements
  • Typical structure: 50% upfront, 50% upon completion
  • Monthly retainers are billed at the beginning of each month
  • Late payments may incur a 1.5% monthly interest charge
  • We accept bank transfer, credit card, and PayPal

6. Project Timelines

Estimated timelines are provided in good faith but are not guaranteed. Delays caused by client feedback, content provision, or scope changes may extend the timeline. We will communicate any significant delays promptly.

7. Revisions and Changes

The number of revision rounds is specified in your service agreement. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Scope changes may require a revised proposal and additional fees.

8. Cancellation and Refunds

  • Either party may terminate with 30 days written notice
  • Work completed prior to cancellation is non-refundable
  • Deposits are non-refundable after work has commenced
  • Monthly retainers may be cancelled with 30 days notice

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, analytics data, customer information, and technical implementations. This obligation survives termination.

10. Limitation of Liability

To the maximum extent permitted by law, ThemeKnock's total liability for any claims arising from our Services shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold ThemeKnock harmless from any claims, damages, or expenses arising from: (a) your use of our Services; (b) content or materials you provide; (c) your violation of these Terms or any applicable law.

12. Website Use

When using our website, you agree not to:

  • Use automated systems to scrape or extract data
  • Attempt to gain unauthorized access to our systems
  • Use the website for any illegal or unauthorized purpose
  • Interfere with or disrupt the website's functionality

13. AI Assistant (Pilot)

Our AI assistant, Pilot, provides general information and guidance. Responses are generated by artificial intelligence and should not be considered as professional advice. We do not guarantee the accuracy or completeness of AI-generated responses.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our Services constitutes acceptance of modified Terms.
